So here's my problem. Everytime I try to update to gingerbread. Clockwork mod comes up during the restart then when I tell it to boot , it boots normally and then it says the update failed. I'm rooted with z 4. So is this something a factory reset will fix? Or is there another process I should go about. Please help.

Unrooting with Z4 will not correct your problem because of Clockwork recovery. Same issue i had. But i now have the OTA Gingerbread.

You need to SBF back to stock 2.2.1.

Do a search for RSD lite (use version 4.8 it runs native as admin) Install the motorola drivers and download the .340 version of 2.2.1 and flash it. Sounds hard but it will only take about 15 or 20 minutes. You will then be able to get the OTA

Thats what will take care of the problem you have which is definately Clockwork recovery. Your bootstrap hijacked a file that can only be repaired by SBF'ing back to stock
