Ok, I've figured it out.
If your recovery screen visuals look any different than what the op had posted here, in regards to the android logo,
you CANNOT YET do this or you will end up with a Status 0 error and need to re-load off Matt's utility.
If your recovery screen looks different, you do NOT have the ICS-compatible recovery mode for your phone. This seems to be what's leading to the Status 0 errors / failures. You will need to follow the #1 option on Matt's utility 1.7, which will unfortunately fully reset your phone, but in the process update the recovery software to the ICS-compatible one seen in the linked screenshot.
If your recovery screen DOES have the visuals seen in the linked screenshot, you can proceed with the op's method of sideloading ICS on. At this point, you -may- get a Status 7 error complaining about user data. Reboot out of the recovery and let your device boot fully. You don't have to complete setup, just let it boot into Gingerbread. Once you've done so, reboot into recovery again and start the sideload process.
As far as I know, Clearing the cache shouldn't touch your SD card cache so that's fine, only thing it should touch is the /Cache of the phone, which you say also has stuff...hmm, rebooting between Cache clearing should do it.
Did you unzip all the files in the .zip?
Good to know, maybe I should include a reboot in between the Cache clearing?
I will update the OP with further instructions, for now I say conserve battery and turn the phone off.

Yes, I downloaded the 1.7 zip file and unzipped it to the same folder. Installed drivers and when I click on the utility it runs deamon. After it says press any key to continue it vanished as soon as i strike a key. PLEASE HELP!

What I think is that not having the right recovery is what is messing it up. I noticed during the installation it did install a new recovery system. I did not use matt utility. I just backed out after the error 0 and entered recovery again, wiped cache and installed. So Im assuming since it had already installed the new recovery the first time around it worked the second time. Could be wrong. But just my observation.
Following the instructions I linked in this post got me to ICS. Thank you all, thanks OP for the baseline instructions, thanks to the numerous people who have tried with varying degrees of success and got me the information I needed to figure out what was going on, and thanks to Matt for an awesome new utility.
Edit: I'll stick around over the next few days to help people get to ICS as I can.
My problem is that when I run Matt's tool, as administrator by the way, when I run option #1, it says it can't find the file or directory but lets me continue. Basically it does not have access and does nothing. Not sure how to fix this.
